Country’s largest two-wheeler manufacturer, Hero MotoCorp has committed investment of ₹959.99 crore to Ather Energy via 76.19 lakh convertible warrants priced at ₹1,260 each, as per the company’s announcements on July 14 and 15.
The transaction is structured to optimise cash-flow flexibility, requiring an upfront payment of 25 per cent with the remaining 75 per cent deferred until conversion, the company said in a filing to stock exchange.
An amount of around ₹240 crore, equivalent to 25 per cent of the issue price per warrant has been paid by the company, and the remaining 75 per cent per warrant will be payable upon the exercise of the warrants by the company at its option, into equity shares of Ather, Hero MotoCorp noted.
“We refer to our earlier communications dated July 14, 2026, and July 15, 2026, wherein we have informed you about the decision of the Committee of Directors of Hero MotoCorpLimited to invest up to ₹1,000 crore in Ather Energy Limited, an associate company, by way of subscription to the preferential issue by Ather,” it said.
According to analysts, Hero MotoCorp is playing a highly calculated game in the Indian electric two-wheeler market. By utilising a warrant structure rather than direct equity, the company is preserving immediate capital while securing an option to expand its dominant footprint in its key associate.
This tactical capital management would also allow the company to scale its premium segment exposure alongside its in-house Vida brand while buffering against recent setbacks, such as its 92 per cent write-down on Zero Motorcycles.
